I would first go for the new mobo myself, and a new video card, and probably a new PSU as well (a cheap PSU can lead to many problems - what brand is yours?).

Drop a new cpu in when you can afford it :) but for gaming your video card will be slowing the system down more than the cpu is, so I'd sort that out first (GF4 MX is a horribly slow card by anything approaching modern standards).

The XP2600 you specify is also 333Mhz fsb, so you'd really need to get some new memory to get the best performance from it (running the cpu with a 333Mhz fsb and your PC2100 memory at 266Mhz will really hit the performance).

    My 2p :)

Even if you were a hardcore gamer, I'd go for the processor first (along with new RAM for the reasons Will specified). As it stands, ATI and nVidia are fairly close to releasing new cores, which means you can either go for whatever mid-range comes out of those product lines or go for yesteryear's high-end at a much lower cost. The latest batch of games (and by which, I basically mean "Doom 3 and Half-Life 2") will hammer every part of your system, but your videocard the most. I'd get the best videocard you possibly could before those games come out (that's assuming you even play FPS'es, in which case you might want to go the route Will said).

well im not a "HARD CORE GAMER" as such i lke playing games as call of duty BTW that games runs perfect on this pc now.
and what do you mean by "hammer every part of your system?"

i will get the following things

    Abit NFS 7 V2
Amd xp2600 or 2100 and overclock it to 2600
and if i got enough new ram!

Isn't "hammer every part of your system" self-explanatory? They'll stress everything.

Oh, and not "if I got enough", definitely get new RAM. Granted, you can overclock the FSB independent of the RAM clock, but that creates a bunch of overhead in trying to synchronize data transfer between the two.
